Terms and Conditions
These terms apply to all agreements between Licenzy and the user of the Licenzy platform. Please read them before creating an account.
Article 1 – Definitions
In these terms and conditions, the following definitions apply:
- Licenzy: the online SaaS platform for centrally managing software licenses, SaaS subscriptions and streaming services, offered by ICT for ALL.
- ICT for ALL: the provider of the Licenzy platform, a Dutch software studio (Chamber of Commerce 24455097).
- User: the natural person or legal entity that has created an account on the Licenzy platform and accepted these terms.
- Account: the User's personal environment within Licenzy, accessible via login credentials.
- Subscription: the paid or free access to (part of) the functionality of Licenzy chosen by the User.
- License key: an activation key or serial number of a software product or service entered by the User and stored in the Licenzy platform.
- Service: all features offered by Licenzy, including tracking licenses, subscriptions and costs, setting renewal reminders, reports, team features and API access.
Article 2 – Applicability
2.1 These terms apply to all agreements between ICT for ALL and the User regarding use of the Service.
2.2 By creating an account or using the Service, the User fully accepts these terms.
2.3 ICT for ALL reserves the right to amend these terms. Changes will be announced at least 30 days in advance by email or a notification within the platform.
2.4 Any purchase conditions or other terms of the User do not apply unless ICT for ALL has explicitly accepted them in writing.
Article 3 – Account and access
3.1 To use the Service, the User must create an account with a valid email address and password.
3.2 The User is responsible for keeping login credentials confidential and for all activities taking place through their account.
3.3 In case of suspected unauthorised access, the User must immediately notify ICT for ALL via the contact form.
3.4 ICT for ALL reserves the right to block or remove accounts in the event of misuse, breach of these terms or non-payment.
3.5 Transferring an account to a third party is not permitted without prior written consent from ICT for ALL.
Article 4 – Subscription and payment
4.1 Licenzy offers the following subscription tiers:
- Free: up to 5 licenses, 1 user, permanently free with no obligations.
- Solo: unlimited licenses, 1 user, email reminders, reports and CSV export.
- Together: everything in Solo, shared dashboard for 2 users.
- Team: unlimited licenses, up to 5 users, team management, roles and audit log.
- Team Pro: everything in Team, up to 15 users, API access.
4.2 Paid subscriptions are invoiced annually in advance via payment provider Mollie. The User authorises ICT for ALL to collect payment via the chosen payment method.
4.3 In the event of late payment, ICT for ALL reserves the right to restrict access to paid features until payment is received.
4.4 No refund is given for the current subscription period after cancellation. The User retains access to paid features until the end of the paid period.
4.5 Cancellation of a paid subscription can be done via account settings or through the contact form, no later than before the start of the next billing period. After cancellation, the account reverts to the free subscription.
4.6 ICT for ALL reserves the right to change pricing with at least 30 days' advance notice by email.
Article 5 – Use of the service
5.1 The User may only use the Service for lawful purposes and in accordance with these terms.
5.2 The User is not permitted to use the Service for:
- entering licenses or data that infringe the rights of third parties;
- attempting to intrude into the system or disrupt platform operation;
- reselling or sublicensing access to the Service to third parties;
- automated use via scripts or bots other than through the officially provided API.
5.3 In the event of excessive use that harms platform performance for other users, ICT for ALL may impose restrictions or terminate the agreement.
Article 6 – License keys and data security
6.1 License keys stored by the User in Licenzy are saved encrypted using AES-256. ICT for ALL staff cannot view the contents of stored keys.
6.2 License keys are only accessible to the User and the team members the User has personally invited to their account. ICT for ALL never uses these keys for any purpose other than displaying them in the User's dashboard.
6.3 The User is solely responsible for the accuracy of data entered, including license keys, costs and renewal dates.
6.4 ICT for ALL is not liable for licenses that expire due to incorrect dates entered by the User or reminders being disabled.
Article 7 – API access (Team Pro)
7.1 Users with a Team Pro subscription gain access to the Licenzy API for automating license management and integrating with external systems.
7.2 The User may only use the API for their own organisation and in accordance with the published API documentation.
7.3 ICT for ALL reserves the right to set API rate limits and to change or discontinue the API with reasonable advance notice.
7.4 The User is responsible for the security of their API keys. In case of suspected misuse, the User must immediately revoke the key via account settings.
Article 8 – Intellectual property
8.1 All intellectual property rights to the Service, the software, the branding and the content of the Licenzy platform rest with ICT for ALL or its licensors. Nothing in these terms is deemed to transfer any intellectual property right to the User.
8.2 The User receives a limited, non-exclusive, non-transferable right to use the Service for the duration of the subscription, solely for the purposes described in these terms.
8.3 The User retains all rights to the data they enter into the platform, such as licenses, subscriptions and notes. The User grants ICT for ALL a limited right to process this data to the extent necessary to deliver the Service.
Article 9 – Privacy and data processing
9.1 ICT for ALL processes the User's personal data in accordance with the GDPR and applicable national privacy legislation.
9.2 For a full description, ICT for ALL refers to the Privacy Policy on the website.
Article 10 – Liability
10.1 ICT for ALL's liability for direct damages is in all cases limited to the amount the User has paid for the subscription in the three calendar months preceding the damaging event, with a maximum of €500 per event.
10.2 ICT for ALL is not liable for indirect damages, consequential loss, lost profit, missed savings or reputational damage.
10.3 ICT for ALL is expressly not liable for:
- expired licenses due to incorrect data entered by the User or disabled reminders;
- damages from unauthorised account access resulting from the User failing to maintain security measures;
- incorrect or incomplete data entered by the User.
10.4 The User indemnifies ICT for ALL against claims from third parties related to the User's use of the Service.
Article 11 – Availability and maintenance
11.1 ICT for ALL aims for high platform availability but does not guarantee uninterrupted availability.
11.2 ICT for ALL may temporarily take the Service offline for maintenance or updates. Scheduled maintenance is announced in advance where possible.
11.3 In the event of technical failures, ICT for ALL will endeavour to restore the platform as quickly as possible, but accepts no liability for the consequences of unavailability.
Article 12 – Termination
12.1 The User may cancel their account at any time via account settings or through the contact form.
12.2 Upon cancellation of a paid subscription, the Service remains available until the end of the current billing period. No refund is given.
12.3 ICT for ALL may terminate the agreement with immediate effect if the User seriously or repeatedly breaches these terms, has a payment arrear exceeding 30 days, or uses the Service for unlawful purposes.
12.4 After account deletion, data is removed in accordance with the Privacy Policy, subject to statutory retention obligations.
Article 13 – Amendments to the terms
13.1 ICT for ALL reserves the right to amend these terms at any time.
13.2 Amendments are announced at least 30 days before the effective date by email or a notification within the platform.
13.3 Continued use of the Service after the effective date of amended terms constitutes acceptance. The User has the right to terminate the agreement before the effective date if they do not agree.
Article 14 – Governing law and disputes
14.1 Dutch law exclusively governs the agreement between ICT for ALL and the User.
14.2 Disputes will first be resolved through consultation. If that does not succeed, the dispute will be submitted to the competent Dutch court.
14.3 The application of the Vienna Sales Convention (CISG) is expressly excluded.
